Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and WaypointsX, Inc. ("WaypointsX," "we," "our," or "us") governing your access to and use of the WaypointsX platform, including any related services, features, and content.

By creating an account or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our platform.

Description of Service

WaypointsX is a software-as-a-service (SaaS) platform designed for travel advisors and professionals. Our platform enables you to:

• Create and manage travel itineraries
• Store and organize client information
• Track commissions and payments
• Share itineraries with clients
• Access various tools and features to support your travel business

Account Registration

To use WaypointsX, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized access or security breach

You must be at least 18 years old and have the legal authority to enter into this agreement.

Subscription and Payment

Free Trial

We offer a 7-day free trial that provides full access to all platform features. No credit card is required to start your trial. At the end of the trial period, you must subscribe to continue using the service.

Subscription Plans

Our subscription pricing is $50/month when billed annually ($600/year) or $65/month when billed monthly. Prices are subject to change with reasonable notice.

Billing and Payment

• Subscriptions automatically renew unless cancelled before the renewal date
• You authorize us to charge your payment method on file for all applicable fees
• All fees are non-refundable except as expressly stated in these Terms
• We may suspend access for failed or overdue payments

Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You retain access until the end of your current billing period
• Your data remains accessible in read-only mode for 30 days
• After 30 days, your data is permanently deleted

We offer a 30-day money-back guarantee from your first payment. Contact support@waypointsx.com to request a refund.

Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property or privacy rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Use the platform to harass, abuse, or harm others
• Resell or redistribute access to the platform without authorization
• Use automated systems to access the platform (except approved integrations)
• Interfere with the proper functioning of the platform

Your Content and Data

Ownership

You retain ownership of all content and data you upload to WaypointsX, including itineraries, client information, and other materials ("Your Content").

License to Us

By uploading content, you grant us a limited license to host, store, and display Your Content solely for the purpose of providing our services to you. This license terminates when you delete the content or your account.

Client Data Responsibility

You are solely responsible for:

• Obtaining appropriate consent to collect and store client personal information
• Complying with applicable data protection and privacy laws
• The accuracy and legality of client data you enter
• Maintaining appropriate relationships with your clients

Intellectual Property

The WaypointsX platform, including its design, features, code, and content, is owned by WaypointsX and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAYPOINTSX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless WaypointsX and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the platform, your violation of these Terms, or your violation of any rights of third parties.

Termination

We may suspend or terminate your access to the platform at any time for violation of these Terms or for any other reason with notice. Upon termination, your right to use the platform ceases immediately.

Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes through the platform or by email. Your continued use after changes take effect constitutes acceptance of the new Terms.

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.
